JianglingMotorsCorporation,Ltd.anditsBoardmembersundertakethattheinformationdisclosedhereinistruthful,accurateandcompleteanddoesnotcontainanyfalsestatement,misrepresentationormajoromission.Forthereasonofworkrotation,theBoardofDirectorsofJianglingMotorsCorporation,Ltd.(hereinafterreferredtoas‘JMC’orthe‘Company’)decidedthatMr.JoeyZhuwouldnolongerserveastheChiefFinancialOfficer,aMemberoftheExecutiveCommittee,theSecretaryoftheAuditCommitteeundertheBoardofDirectorsoftheCompany,aDirectorofJianglingFordAutomobileTechnology(Shanghai)Co.,Ltd.,andaDirectorofHanonSystems(Nanchang)Co.,Ltd.ThepersonnelchangesshallbecomeeffectivefromNovember1,2025.Mr.JoeyZhu'soriginaltermofofficewasscheduledtoconcludeupontheexpiryofthetermoftheeleventhBoardofDirectorsoftheCompany,i.e.June15,2026.Forthereasonofworkrotation,theBoardofDirectorsoftheCompanydecidedthatMr.AndersonLiuwouldnolongerserveasaVicePresidentoftheCompany.ThepersonnelchangeshallbecomeeffectivefromNovember1,2025.Mr.AndersonLiu'soriginaltermofofficewasscheduledtoconcludeupontheexpiryofthetermoftheeleventhBoardofDirectorsoftheCompany,i.e.June15,2026.Mr.JoeyZhuandMr.AndersonLiuwillnottakeanypostintheCompanyaftertheaforesaidpersonnelchanges.Asofthedisclosuredateoftheannouncement,Mr.JoeyZhuandMr.AndersonLiudidnotholdanyJMCshareandtherearenooutstandingpubliccommitments.ThedepartureofMr.JoeyZhuandMr.AndersonLiuwillnotaffectthenormaloperationoftheCompany'sdailyproductionandbusinessactivities.TheCompanyanditsBoardofDirectorsextendtheirheartfeltgratitudetoMr.JoeyZhuandMr.AndersonLiufortheircontributionstotheCompany'sdevelopmentduringtheirtenure.Itisherebyannounced.BoardofDirectorsJianglingMotorsCorporation,Ltd.October24,2025
