1.Forthereasonofworkrotation,theBoardofDirectorsoftheCompanydecidedthatMr.JoeyZhuwouldnolongerserveastheChiefFinancialOfficer,aMemberoftheExecutiveCommittee,theSecretaryoftheAuditCommitteeundertheBoardofDirectorsoftheCompany,aDirectorofJianglingFordAutomobileTechnology(Shanghai)Co.,Ltd.,andaDirectorofHanonSystems(Nanchang)Co.,Ltd.PertheCompanyPresidentXiongChunying’snomination,theBoardofDirectorsoftheCompanyapprovedtoappointMs.LiWeihuaastheChiefFinancialOfficer,aMemberoftheExecutiveCommittee,theSecretaryoftheAuditCommitteeundertheBoardofDirectorsoftheCompany,aDirectorofJianglingFordAutomobileTechnology(Shanghai)Co.,Ltd.,andaDirectorofHanonSystems(Nanchang)Co.,Ltd.TheaforesaidpersonnelchangesshallbecomeeffectivefromNovember1,2025.TheBoardofDirectorsoftheCompanyagreedtoauthorizeMs.LiWeihuawithfullpowertohandlebankingeventsbetweenJMCandotherfinancialinstitutionsduringtheperiodwhensheservesasCFOofJMC.Therewere9votesinfavoroftheproposals,0voteagainst,and0abstention.

ThisproposalhasbeenreviewedandapprovedbytheAuditCommitteeoftheBoardofDirectorsoftheCompanypriortosubmissionforconsiderationbytheBoardofDirectors.

2.Forthereasonofworkrotation,theBoardofDirectorsoftheCompanydecidedthatMr.AndersonLiuwouldnolongerserveasaVicePresidentoftheCompany.ThepersonnelchangeshallbecomeeffectivefromNovember1,2025.Therewere9votesinfavoroftheproposal,0voteagainst,and0abstention.Mr.JoeyZhuandMr.AndersonLiuwillnottakeanypostintheCompanyaftertheaforesaidpersonnelchanges.Asofthedisclosuredateoftheannouncement,Mr.JoeyZhuandMr.AndersonLiudidnotholdanyJMCshare.Ms.LiWeihua’sResume:
